(i) Customer Data: personal data that we collect, process and manage on behalf of our business customers (“Customers”), submitted to the ChannelBits cloud-based services, including our CRM platform, products, applications, APIs, tools, and any ancillary or supplementary ChannelBits products and services, offered online and via mobile application (collectively, “Platform”).
We process such Customer Data on behalf and under the instruction of the respective Customer in our capacity as a “data processor”, in accordance with our Data Processing Addendum with them.
Accordingly, this Privacy Policy – which describes ChannelBits’ independent privacy and data processing practices as a “data controller” – applies with respect to the Platform, Sites (as defined below) and any other services provided to Customers by ChannelBits (“Services”), and does not apply to the processing of Customer Data. If you have any questions or requests regarding Customer Data, please contact your account administrator(s) (“Account Admin”) directly.
(ii) User Data: personal data concerning our Customers’ internal focal persons who directly engage with ChannelBits concerning their ChannelBits account (e.g. billing contacts and authorized signatories), Customers’ Account Admins, and authorized users of the Platform (collectively, “Users”).
(iii) Prospect Data: data relating to visitors of our websites (including but not limited to www.channelbits.com), participants at events, and any other prospective customer, user or partner (collectively, “Prospects”).
(iv) Technology Partner Data: data relating to individuals or organizations participating and/or engaging as developers, integrators, or technology partners who interact with our Platform, Sites, events and/or other platforms utilized by ChannelBits.

These Terms of Service (“Terms”) constitute a legally binding agreement as of the Effective Date (defined below), governing your access, use, registration, and receipt of: (i) www.channelbits.com and any related website owned or operated by ChannelBits (the “Site”); (ii) ChannelBits’ CRM services, products, and applications (the “Services”); and/or (iii) any ancillary services or products provided in connection with the Services. These Terms are between ChannelBits Ltd. (“ChannelBits,” “us,” “we,” or “our”) and you, either individually, or on behalf of your employer or any other entity you represent (“you” or “your”). By using the Services, you confirm that you have authority to accept these Terms on behalf of your organization.
PLEASE READ THESE TERMS CAREFULLY. BY REGISTERING, ACCESSING, OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
1. Our Services
1.1 Scope. ChannelBits provides CRM services including but not limited to lead management, account management, opportunities, communications, files, quotes, orders, invoices, and related tools.
1.2 Modification. We may modify, improve, or discontinue any part of the Services at our discretion. If material changes are made, we will notify you by posting on the Site or by email.
1.3 Eligibility. You represent and warrant that you are at least sixteen (16) years old. The Services are not intended for individuals under that age.
1.4 Support. Depending on your subscription plan, you may be entitled to support and uptime commitments.
2. Account Registration and Users
2.1 Account Creation. To use the Services, you must create an account (“Account”). The first user is the Account administrator (“Admin”).
2.2 Accuracy. You agree to provide accurate, complete, and current information when creating an Account.
2.3 Security. You are responsible for maintaining confidentiality of your password and for all activities that occur under your Account.
2.4 Admins & Users. Admins have privileges to manage users, data, and billing. Different user types (e.g., agents, managers, finance, IT admin) may have different rights depending on your subscription plan.
2.5 Responsibility. You are responsible for all activities by your users and any data submitted to the Services.
3. Customer Data
3.1 Ownership. You retain all rights to the data you submit (“Customer Data”).
3.2 License. You grant ChannelBits a limited license to use Customer Data solely to provide and improve the Services, ensure security, and comply with legal obligations.
3.3 Compliance. You are responsible for ensuring Customer Data complies with applicable laws, including privacy and data protection regulations.
3.4 Restrictions. Sensitive data such as health records (unless agreed separately), payment card data, or other regulated information must not be submitted unless explicitly permitted.
4. Intellectual Property
4.1 Our IP. All rights, title, and interest in the Services, software, designs, trademarks, and related intellectual property belong to ChannelBits or its licensors.
4.2 Your License. Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services for internal business purposes.
4.3 Restrictions. You may not reverse engineer, resell, sublicense, or misuse the Services.
5. Privacy and Security
5.1 Security. We implement reasonable technical and organizational measures to protect Customer Data.
5.2 Privacy Policy. Your use of the Services is subject to our Privacy Policy, which explains how we collect and use personal data.
5.3 Data Processing. If applicable, a Data Processing Agreement (DPA) may be entered into between you and ChannelBits.
6. Third-Party Services
The Services may integrate with third-party tools. ChannelBits is not responsible for third-party services and their terms and privacy policies will govern your use of them.
7. Fees and Payments
7.1 Subscription. Services are provided on a subscription basis according to the plan you select.
7.2 Billing. You agree to pay all fees in accordance with your subscription. Fees are non-refundable unless otherwise required by law or agreed in writing.
7.3 Taxes. Fees exclude applicable taxes, which you are responsible for paying.
8. Term and Termination
8.1 Term. These Terms remain in effect while you use the Services.
8.2 Termination by You. You may terminate by canceling your subscription and deleting your Account. Fees already paid are non-refundable.
8.3 Termination by Us. We may suspend or terminate your Account if you breach these Terms, fail to pay fees, or misuse the Services.
8.4 Data Export. Upon termination, it is your responsibility to export your Customer Data before closure.
9. Disclaimers
The Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law, ChannelBits shall not be liable for indirect, incidental, or consequential damages. Our total liability for any claims under these Terms shall not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim.
11. Governing Law & Disputes
These Terms are governed by the laws of [Insert Governing Jurisdiction]. Any disputes shall be resolved exclusively in the competent courts of [Insert Venue].
12. General Provisions
- These Terms may be updated from time to time. Continued use constitutes acceptance.

This Acceptable Use Policy (“AUP”) forms part of the Terms of Service or other agreement governing the use of ChannelBits’ Services (“Agreement”) and reflects the activities that are prohibited in connection with your use of the Services and/or any of ChannelBits’ Sites (as used herein collectively “Services”), in addition to the restrictions set forth in the Agreement. All capitalized terms not defined herein shall have the meaning set forth in the Agreement.
1. Prohibited Activities
You represent and warrant that you shall not, and shall not cause or allow any third party to:
1.1 Access (or attempt to access), tamper with, reverse engineer, export, download or search any portion of the Services and/or its underlying or related infrastructures, systems, networks and technologies (“Systems”), by any means other than through the interface that is provided by us in connection with the Services or the Systems (e.g., scraping, spidering or crawling);
1.2 Probe, scan, or test the vulnerability of the Services or the Systems or breach or circumvent any security or authentication measures thereof;
1.3 Attempt to disrupt or overwhelm our infrastructure by imposing unreasonable requests or burdens on our resources (e.g., using “bots” or other automated systems to send requests to our servers at a rate beyond what could be sent by a human user during the same period of time);
1.4 Copy, modify, alter, change or create any derivative works of the Services or Systems, or any part thereof, or otherwise remove proprietary marks from the Services or Systems;
1.5 Use the Services and/or the Systems to transmit malware or for phishing purposes;
1.6 Perform any activities or upload, submit, transmit or distribute any materials or Content that may harm or disrupt the operation of the Services, the Systems or any other infrastructure of ChannelBits or any third party;
1.7 Use the Services to perform any illegal, unlawful, fraudulent or deceptive activities or for competitive purposes;
1.8 Attempt to gain unauthorized access to the Services or the Systems to defeat, avoid, bypass, remove, deactivate, or otherwise circumvent any software protection or monitoring mechanisms of the Services or the Systems;
1.9 Impersonate any person, organization or entity, or falsely state or otherwise misrepresent your affiliation with any person, organization or entity;
1.10 Use the Services to violate the privacy of others, including posting private and confidential information of others without their express authorization;
1.11 Use the Services to perform or encourage others to perform any activities that are defamatory, libelous, threatening, constitute hate speech, harassment, or stalking;
1.12 Upload, submit or transmit through the Services or the Systems any content that contains or redirects (or may contain or redirect) to a virus, Trojan horse, worm, scripting exploits, bots or other harmful component or technology that may or is intended to damage or hijack the operation of any hardware, software (including the Services), telecommunications equipment, or any other actually or potentially harmful, disruptive, or invasive code or component;
1.13 Misuse or otherwise use the Services or the Systems in an excessive manner compared to the anticipated standard of use (examined at our sole discretion), including without limitation, consuming excessive storage, or otherwise burdening the Services or the Systems in a manner that impairs its operation or in violation of documentation or other operational restriction designated by us;
1.14 Send messages or communications which are (i) unlawful or contain unlawful content; (ii) unsolicited, including spam, bulk messaging, or any other form of unwanted communication that does not comply with applicable spam laws; (iii) sent or intended to be sent to contacts that were purchased, scraped, rented, obtained through unauthorized means, or otherwise acquired without explicit and verifiable consent from the recipients; or (iv) to recipients who requested not to receive such messages;
1.15 Generate content (including through functionalities within the Services, such as AI functionalities) that is illegal, harmful, hateful, discriminatory, threatening, violent, harassing, damaging or which encourages any such content; and/or
1.16 Generate or use content which infringes any third party right.
2. Content Restrictions
You represent and warrant that you shall not, and shall not allow, cause or encourage others, to upload, submit, prompt, input, transmit, broadcast, send, publish, output, collect or otherwise make available to or through the Services or Systems any Content that:
2.1 Exploits or abuses children, including but not limited to images or depictions of child abuse or sexual abuse, or that presents children in a sexual manner;
2.2 Infringes ChannelBits’ or any third party’s intellectual property or other rights, including any copyright, trademark, patent, trade secret, moral rights, or any other intellectual property right, including proprietary or contractual rights;
2.3 Infringes any privacy rights or publicity rights;
2.4 Is deceptive, fraudulent, illegal, obscene, defamatory, libelous, threatening, harmful, pornographic, indecent, harassing, hateful, inducing violence and/or terrorism, or otherwise encouraging any illegal, tortious or inappropriate conduct; and/or
2.5 Attacks or otherwise unlawfully relates to others based on their race, ethnicity, national origin, religion, sex, gender, sexual orientation, disability, or medical condition.
3. Monitoring
We are under no obligation to monitor your activities in relation to the Services or the Systems. However, we may systematically screen and/or monitor any Content uploaded, submitted and/or transmitted through our Services or Systems, at any time and for any reason, for compliance with this AUP and the Agreement, with or without notice.
4. Intellectual Property
It is our policy to respect the legitimate rights of copyright and other intellectual property owners, and we will respond to notices of alleged copyright infringement in accordance with our Copyright and Content Policy.
5. Enforcement
In addition to any other remedies that may be available to us, if we suspect that your Content, any of your activities, or use of the Services are in violation of this AUP, the Agreement, or applicable law, we may, without limitation, with or without advance notice, and without liability to you: (i) remove and/or block such violating Content, in whole or in part; (ii) terminate or suspend your Account, access to the Services, or access to certain functionalities; and/or (iii) remove or limit access to Content or data you submitted to the Services or made available to third parties using the Services.
6. Updates
We may update and/or amend this AUP from time to time. If ChannelBits makes material changes to this AUP, we will give notice as appropriate under the circumstances, e.g., by displaying a prominent notice within the Services or by sending an email. Your continued use of the Services after the changes have been implemented will constitute your acceptance of the changes.
